Welcome to Dataras. These Terms of Service (hereinafter referred to as “these Terms”) constitute a legally binding agreement between you (“User”) and Dataras Inc. (“the Company”) regarding your access to, registration for, and use of the quantitative investment platform and related services provided by the Company.
Before using any Dataras services, please carefully read and understand these Terms in their entirety, especially the provisions regarding Limitation of Liability, Risk Warnings, and Dispute Resolution. By registering for, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you disagree with any of these Terms, please immediately cease using the Dataras Services.
These Terms apply to all online and offline products, features, tools, and future financial technology services provided by Dataras and are governed by and construed in accordance with the laws of the State of New York, U.S.A. The Company reserves the right to modify or update these Terms at any time. Modified Terms will be posted on the Platform and will take effect immediately. Users are responsible for regularly reviewing these Terms for updates.
In the event of any conflict between these Terms and other announcements or policies of the Company, these Terms shall prevail. The Company assumes no legal responsibility for any unauthorized third-party statements. Users should ensure they understand the relevant service content through official channels.

To ensure accuracy and consistency in the terms and conditions of these Terms, the following terms have the following meanings:
“Dataras” or “the Company” means Dataras Inc., a company registered in the State of New York, USA, its subsidiaries, branches, and authorized representatives.
“Platform” means the official website, mobile applications, APIs, and other digital products provided by Dataras.
“User” means a natural person or legal entity that registers, accesses, browses, or participates in the Platform services.
“Account” means the personal or institutional identity created by a User after registering on the Dataras Platform, which is used to access the Services and conduct transactions.
“Quantitative Investment Services” means the investment assistance, asset allocation, trade execution, and information display services provided by Dataras based on AI algorithms and big data analysis.
“Digital Assets” means digital assets that can be displayed, tracked, or invested in on the Platform, including but not limited to stocks, ETFs, cryptocurrencies, indices, and foreign exchange.
“Governing Law” means that these Terms and the relevant dispute resolution laws of the State of New York, U.S.A., and their applicable regulations, shall apply to these Terms and Conditions.
Capitalized terms not defined above shall be interpreted according to their ordinary meanings in the fintech industry or in the context of these Terms.
Page 3: Account Registration and User Eligibility
To fully utilize the services provided by Dataras, users must complete the account registration process and provide true, accurate, and complete identification information. The Company reserves the right to verify and review user information for KYC (Know Your Customer) and AML (Anti-Money Laundering) compliance requirements.
Users registering for an account must be at least 18 years of age, or of legal age to enter into a legally binding contract in their jurisdiction. Dataras is not responsible for the use of ineligible users and reserves the right to suspend or terminate accounts that do not comply with these regulations at any time.
Users must maintain proper confidentiality of their account information, including usernames, passwords, and authentication tokens, and must not transfer, rent, or authorize others to use their accounts. Users must immediately notify the Company of any unauthorized access or use of their accounts. All information submitted during user registration must be legal, authentic, and verifiable. Users must promptly update any changes to this information. Dataras assumes no liability for losses incurred by users due to their failure to promptly update this information.
If any illegal, irregular, or fraudulent activity is discovered in an account, the Company reserves the right to suspend or terminate the account without prior notice and report it to the relevant regulatory authorities.

Dataras’ services include, but are not limited to, AI-based quantitative trading models, real-time market data analysis tools, portfolio management assistance, investment behavior statistics, risk assessment assistance, and a user community interaction module. All services are intended to provide users with intelligent investment support and do not constitute investment advice or financial guarantees of any kind. Users must adhere to the following usage guidelines when using the platform services:
Legal and Compliant Use: Platform services must not be used for any activities that violate applicable laws, regulations, or regulatory requirements, including but not limited to money laundering, terrorist financing, fraud, market manipulation, etc.
No Interference with Others: Platform services must not be used to interfere with, disrupt, or attack the platform’s operations or the normal use of other users through technical means (such as scraping, DDoS, simulated requests, etc.);
Prohibition of Platform Abuse: Bulk account registration, impersonation of others, or circumvention of risk control mechanisms are prohibited;
Respect for Intellectual Property: Users must not copy, distribute, or modify the content or backend model structures provided by the platform without authorization.
Dataras reserves the right, at its sole discretion, to take measures such as warnings, restrictions, freezing, or account cancellation against any user who violates the above guidelines and reserves the right to pursue legal action.

The quantitative models and data tools provided by Dataras are for decision-making purposes only and do not constitute any prediction, promise, or guarantee of future returns. Users must be aware of the following rules:
Independent Judgment: All investment decisions are made independently by users, based on their own risk tolerance.
Investment Risk Disclosure: The asset classes (including digital assets) covered by the platform are subject to price volatility and potential loss risks, and users may face partial or complete loss of funds.
Transparent Execution: The platform utilizes auditable logic and record-keeping mechanisms to ensure that model behavior and trading processes are traceable and verifiable.
No Investment Advisory Services: Dataras is not a registered investment advisor or financial analyst. The information, charts, and simulation results provided by the platform are for reference only.
The platform reserves the right to adjust the range of tradable products, functional restrictions, or model parameters at any time based on market conditions or regulatory requirements, and will notify users in advance.
Page 6: Fees, Settlement, and Taxation
Dataras platform services may incur the following fees:
Subscription service fees: for access to professional data, model interfaces, and strategy optimization features;
Transaction-related fees: fees for order execution, external channel interface calls, and platform matching services will be clearly displayed;
Value-added service fees: including but not limited to customized model development, strategy diagnostics, data export, and other personalized services.
All fees will be clearly indicated before any user action, and users can choose whether to use the corresponding services. The platform reserves the right to update fees based on business adjustments and notify users through announcements.
Settlement methods include US dollars, platform-supported fiat currencies, and designated digital assets. The specific currency and method are subject to the platform’s real-time display. Settlement cycles vary depending on the service type, order timing, and clearing channel.
Tax Responsibility Notice:
Users are solely responsible for any tax liabilities arising from their investments, transactions, or profits, in accordance with local laws.
Dataras does not provide tax filing services, but will provide relevant reconciliation and reporting functions within compliance to assist users in managing their tax affairs.

Dataras prioritizes the security and privacy of user data and is committed to establishing an auditable, compliant, and transparent data usage mechanism. During user use of the platform, the platform will collect the following information in accordance with the law:
Account registration information (such as name, email address, nationality, and identification);
Platform usage data (such as model calls, transaction activity, and login history);
Technical device information (such as IP address, browser type, system language, and device unique identifier).
Data Usage Statement:
Collected information will be used for necessary purposes such as platform service operation, model optimization, security verification, and compliance audits.
The platform will not sell, rent, or disclose any user identity information to third parties without user authorization.
The platform will use technical measures such as encrypted storage, permission isolation, and anonymization to protect data security.
Under certain circumstances (such as requests from law enforcement agencies), the platform is obligated to provide compliant cooperation.
Users may request to review, correct, or cancel their personal information in the account center and may raise reasonable objections to data use. Dataras is committed to complying with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and applicable local laws and regulations.
Page 8: Intellectual Property and Usage License
Dataras owns and retains the intellectual property rights for all content and technology on the platform, including but not limited to algorithmic models, software code, user interface design, platform logos, trademarks, graphics, images, text, API interfaces, and database structures. No user or third party may reproduce, modify, distribute, publicly publish, sell, or use any of the content for commercial purposes without Dataras’s express written authorization.
License Usage Instructions:
Subject to compliance with these Terms, users are granted a non-exclusive, non-transferable, limited license by the platform for legitimate investment activities on the platform by individuals or institutions.
User-uploaded or generated content (such as strategy parameters, analysis reports, and comments) remains the property of the user, but the user agrees to grant Dataras a worldwide, royalty-free, sublicensable, non-exclusive license for platform display, model training, and service optimization.
Prohibited activities include but are not limited to reverse engineering, illegal data scraping, simulating platform behavior, and unauthorized creation of competing products.
If the platform discovers any infringement of its intellectual property rights, it reserves the right to take necessary measures, such as technical blocking and legal prosecution, to protect its rights and interests. Users may also report infringements through official channels, and the platform will handle such violations in accordance with the law.
Page 9: Limitation of Liability and Disclaimer
When using Dataras services, users must fully understand and accept the scope of liability and disclaimers listed on the platform:
Risk Warning: All investment activities carry potential risks, and return volatility is unpredictable. Users should make rational decisions within their own tolerance levels.
Service Interruption Disclaimer: Dataras assumes no liability for platform service suspension or abnormality due to force majeure events such as third-party system failures, network outages, power failures, natural disasters, hacker attacks, and government regulations.
Model Errors and Information Delays: Although the platform uses AI to optimize model performance, objective factors such as market fluctuations and data source quality may result in inaccurate or delayed results. Users bear the consequences of their decisions.
Non-Financial Advisory Role Statement: The platform does not constitute a licensed investment advisor or transaction executor and does not provide users with personalized asset allocation, tax planning, or return guarantees.
Maximum Liability Limit: To the extent permitted by applicable law, Dataras’s aggregate liability for any losses or damages (including lost profits, data loss, etc.) shall not exceed the total fees paid to the platform by users in the preceding 12 months. In no event shall Dataras be liable to users or third parties for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the use of or inability to use the Service.
Page 10: Termination, Modification, and Dispute Resolution
Account Termination
Dataras reserves the right to suspend or terminate user accounts without prior notice in the following circumstances:
Users violate these Terms or applicable laws;
Fraudulent, hacking, disruptive platform behavior, or suspected money laundering;
At the request of regulatory authorities or judicial authorities;
Users will be automatically deregistered after 12 consecutive months of inactivity.
Users may also request account termination on their own initiative, and the platform will complete the deregistration process in accordance with data retention and audit requirements. Account termination will not affect any prior operations or liabilities.
Term Modifications
Dataras reserves the right to update and modify these Terms of Service at any time. Modifications will be prominently posted on the platform and will take effect immediately. Users’ continued use of the service constitutes their agreement to such modifications. If they disagree, they should immediately cease using the platform.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of New York, U.S.A., governing the interpretation, application, and dispute resolution of the Terms. If a dispute arises, the parties shall prioritize negotiation for resolution. If negotiation fails, either party may submit the matter to arbitration under the then-current rules of the New York International Arbitration Center.
The arbitration award shall be final and legally binding. The language of the arbitration shall be English. If interim relief (such as account freezing, data preservation, etc.) is required before arbitration, either party may file an application with the New York State Court.
